ARTICLES OF AGREEMENT
OF THE
BIKE-WALK
The undersigned, being persons of lawful age, associated
under the provisions of the
Article One: The name of the corporation shall be: Bike-Walk Alliance of New Hampshire (hereinafter the BWANH).
Article Two: The object for which the BWANH is established is to be organized exclusively for any purposes for which an organization may be exempt from Federal taxation under Section 501(c)3 of the code including for such purposes the making of distributions to organizations that qualify as exempt organizations under Section 501(c)3 of the code, or corresponding section of any future Federal tax code. The primary purpose of the BWANH is to promote bicycle and pedestrian safety and education state-wide.
Article Three:
The provisions for establishing membership and participation in the BWANH
may (or may not) have voting members, and such membership may join the BWANH by
payment of annual membership fees. The management and affairs of the BWANH
shall be at all times under the direction of a Board of Directors, whose
operations in governing the corporation shall be defined by statute. No member
or Director shall have any right, title, or interest in or to any property of
the BWANH. Membership will be available
by applications offered to residents of
Article Four: The provisions for disposition of the BWANH assets in the event of dissolution, including the prioritization of rights of shareholders and members to BWANH assets are that the assets shall be distributed to one or more exempt organizations exclusively for the purposes of the BWANH in such manner or to such organization or organizations organized and operated exclusively for charitable, educational, or scientific purposes as shall at any time qualify as an exempt organization or organizations under Section 501(c)3 of the Internal Revenue code of 1986, or corresponding Section of any future tax code, or shall be distributed to the Federal Government, or to a State or local government for a public purpose.
Article Five: The address at which the business of the BWANH is to be carried out is:
Article Six: The amount of capital stock, or the number of shares or membership certificates, and provisions for retirement, reacquisition and redemption of those shares or certificates are none.
Article Seven: Provision eliminating or limiting the personal liability of a Director, an officer or both, to the BWANH or its shareholders for monetary damages for breach of fiduciary duty as a Director, an officer or both is that Directors or officers of the BWANH shall not be liable for any debt, liability or obligation of BWANH. To the fullest extent now or hereafter permitted by law, no Director or officer shall be personally liable to BWANH or to its members for monetary damages for breach of their fiduciary duties as an officer.
No substantial part of the activities of BWANH shall constitute the carrying on of propaganda or otherwise attempting to influence legislation, or any initiative or referendum before the public, and BWANH shall not participate in, or intervene in (including by publication or distribution of statements) any political campaign on behalf of, or in opposition to, any candidate for public office.
